its a pretty fair offer... basically in draft picks.. you give 1.2 and get 1.8 and 3ish something? for a ppr league your WR are pretty shaky.... i would counter to try to extract one more solid player... if he offered to you, it means he WANTS bell so extract more!

IMO, it's close, but not quite enough to get Bell.

Agree with iamkoza, he may add more and you could use the players upgraded at more than one spot.  Close but not quite.

I would agree with all the above. It is really close.  If I were him, I wouldn't offer any more b/c of how close this is.  

In PPR, Baldwin is more of a monster than standard leagues.  

Before doing this, who is on the waiver wire if you are looking for an upgrade?  Might want to ride out the first week or two, to see who pops.  This might be a better option than getting rid of the #1 or #2 RB.

I'ts a tough decision mainly because you really need an upgrade at Wr 

I think I would pull the trigger - a better offer may not come and overall you'd have a more competitive team week to week.

I wouldn't do the trade, Bell is a stud in a primary RB situation and there just aren't many of those anymore, with the advent of RBBC that is so prevalent now. I just don't think Baldwin offsets the point differential between your other WRs and Bell over Freeman, IMO.
